Join us as a Corporate Governance Officer
  • If you want to play a pivotal role in delivering our strategy and driving the effectiveness of our Corporate Governance framework, this could be your ideal role
  • Working in close partnership with colleagues in our Corporate Governance function, you’ll support the NatWest Markets NV and RBS International Depositary Services (DS) Luxembourg businesses to deliver their strategic objectives, supporting core corporate governance and decision-making forums, and providing coordinated and consistent professional support and advice
  • You’ll ensure the provision of high-quality secretarial support to the Managing Board, Supervisory Board, and other key committees, acting as trusted advisor to the chairs of the boards and other executive and non-executive stakeholders
What you'll do We’ll look to you to provide strategic leadership, direction, and professional advice on the Corporate Governance framework as it applies to the entities. Working in partnership with Corporate Governance colleagues, you’ll contribute to the continued optimisation of our Subsidiary Governance framework, providing advice and support to boards, committees, and stakeholders aligned to the Subsidiary Governance Principles. Partnering with Governance Managers in the Corporate Governance function, you’ll develop and maintain the corporate governance framework for the managing board and supervisory board. This will include articles of association, rules, and best practices. You’ll advise the Supervisory Board and executive leadership on how governance practices can enhance strategic oversight and accountability. You’ll also organise the annual general meeting of shareholders and coordinate the finalisation of the annual report. Furthermore, You’ll
  • Build effective relationships with key stakeholders and regulators on corporate governance issues and advise the board and senior management on corporate governance best practices, the Dutch Corporate Governance Code, and DNB/AFM requirements
  • Monitor legal and statutory procedures and other agreements, obligations, and arrangements, manage the power of attorney, and ensure a timely delivery of approved powers of attorney to authorised persons
  • Manage the corporate hierarchy of the relevant business, and monitor any changes in relevant legislation and the regulatory environment, taking appropriate actions
  • Partner with Legal and Regulatory Affairs colleagues and coordinate the relationship with external regulators and advisers, including lawyers and auditors
  • Maintain statutory registers and ensure timely filings with the Dutch Chamber of Commerce and regulatory authorities
  • Monitor any changes in relevant legislation and the regulatory environment, taking appropriate actions
  • Manage the power of attorney and ensure a timely delivery of approved powers of attorney to authorised persons
  • Oversee the effective delivery of Corporate Governance support to RBSI DS Luxembourg
The skills you'll need We’re looking for someone with excellent stakeholder management skills coupled with the ability to navigate sensitive governance issues. You’ll have in-depth knowledge of Dutch corporate law, financial sector regulations, and governance codes and as a high level of integrity, discretion, and professionalism. In Addition To This, You’ll Demonstrate
  • Strong organizational and project management skills
  • Excellent written and verbal communication in Dutch and English
  • The ability to be a flexible and collaborative team player, capable of building good working relationships
  • Strong knowledge of the financial services industry and its secretarial, legal and regulatory environment
  • Extensive experience working with Boards and senior executives in a regulated environment
