The Dutch business has been growing steadily through acquisitions, forward funding developments and an expanding footprint across the country. On behalf of P3, Solid Executives is conducting a search for a Senior Legal Counsel to act as the primary legal advisor for the Dutch business.br/br/As Senior Legal Counsel, you are the go-to legal advisor for the Dutch business, operating with autonomy while staying closely connected to the wider international legal team. Your responsibilities include:br/br/Commercial Leasing and Asset Managementbr/br/Drafting, reviewing and negotiating lease agreements, renewals, amendments, terminations and related documentationbr/br/Structuring and securing leasing transactions, including assignments and subleasesbr/br/Advising asset management, leasing and operational teams on day-time legal mattersbr/br/Identifying legal and operational risks and proposing pragmatic, business-oriented solutionsbr/br/Supporting portfolio-wide leasing strategies and lease management initiativesbr/br/Litigation and Dispute Managementbr/br/Defining dispute resolution and litigation strategy together with external counselbr/br/Managing disputes relating to leasing, construction, property management, service agreements and debt recoverybr/br/Coordinating external advisors and experts in contentious mattersbr/br/Proposing practical, commercially sensible settlement solutions where appropriatebr/br/Development Projects and Transactional Advisorybr/br/Providing legal support throughout development, acquisition, investment and disposal transactionsbr/br/Leading legal workstreams across transactions, ensuring effective risk managementbr/br/Drafting and negotiating LOIs, NDAs, exclusivity agreements and term sheetsbr/br/Drafting, negotiating and managing construction, design, consultancy, development and service agreementsbr/br/Coordinating legal due diligence processes and reporting key findings to stakeholdersbr/br/Working closely with investment, development, asset management and finance teams to align legal advice with business objectivesbr/br/Corporate Legal and Transaction Structuringbr/br/Overseeing corporate legal matters, including incorporations, restructurings, governance and intra-group transactionsbr/br/Supporting the legal structuring of acquisitions, restructurings and disposalsbr/br/Coordinating with lenders, notaries and external counsel to ensure timely executionbr/br/Maintaining accurate legal records and document management in line with internal policiesbr/br/Strategic Advisory and Compliancebr/br/Implementing and monitoring compliance policies, including GDPR, anti-corruption and sanctions requirementsbr/br/Keeping abreast of developments in real estate, corporate and commercial lawbr/br/Advising management on regulatory developments, legal risks and business implicationsbr/br/Legal Function Organisationbr/br/Building and organising the Dutch legal function in line with the standards of the broader international legal teambr/br/Managing the work and legal costs of external counsel and notaries, aligned with group-wide reporting structuresbr/br/Requirementsbr/br/Master's degree in Law, with a specialisation in Real Estate Law; Commercial and Corporate Law are a plusbr/br/Minimum of 6+ years PQE, ideally within a real estate investment company, law firm, developer, asset manager or international real estate platformbr/br/Strong expertise across real estate transactions, acquisitions and disposals, commercial leasing, development projects, corporate law and dispute managementbr/br/A genuine team player who works well cross-border and is comfortable both giving and asking for support from colleagues in other countriesbr/br/Proactive and hands-on, someone who naturally takes the lead rather than waiting to be askedbr/br/A strong business partner mindset, able to operate as a strategic advisor to managementbr/br/Demonstrated autonomy and sound judgment, able to manage multiple projects independentlybr/br/Excellent stakeholder management, drafting and negotiation skillsbr/br/A commercially driven mindset, able to balance legal risk with business prioritiesbr/br/Experience working in an international environment is highly desirablebr/br/Fluent in English and Dutchbr/br/#J-18808-Ljbffr
